If you have any concerns regarding any of those linked websites via the Site, please contact us via the contact details as set out above. Norwich expressly reserves the right to delete/alter/modify/change any link(s) on the Site at any given time and for any reason without prior notice. You may link to the Site, provided that your linking to the Site does not damage our reputation or take advantage of it and in no way would lead any person seeing the link to assume that Norwich or its affiliates are in any way associated with your website or endorses it. 5. Prohibition

By accessing and using the Site, you have acknowledged and agreed not to: –

(d) do anything which is otherwise unlawful or which may cause any liability(ies) to Norwich or its affiliates;

(e) obtain unauthorized access to the Site or any private access in the Site without valid authorization from the Site operators;

(f) engage in any other conduct(s) that restrict or inhibit any other person from accessing or using or enjoying the Site;

(g) decipher, disassemble, decompile, or reverse-engineer any of the software comprising or in any way making up a part of the Site;

(h) probe, scan, or test the vulnerability of the networking system or to breach the security or firewall or authentication measures without valid authorization;

(i) interfere or interrupt or disrupt with the Site in any manners, including without limitation by engaging in unauthorized harvesting, spidering, scraping of contents, contact or other personal and/or special information/Materials, using any other unauthorized automated means to compile information/Materials or flooding, spamming, hacking or crashing the Site;

(j) do or commit anything that breaches any applicable local or national or international law or rules and regulation; or

(k) make any attempt to do any of the above.

 

6. Site Access

Norwich may in its sole discretion at any given time, for whatever reason and without prior notice, take any or any of the following actions, not limited to: –

(a) withdraw or suspend your access/usage to the Site;

(b) restrict your access to the Site; and/or

(c) discontinue any related subscriptions to additional service offered through the Site (if any).

If Norwich takes any of the above actions and notifies you of such action, you must promptly destroy any content/information/Materials you have downloaded or printed from the Site.

 

7. Indemnification, Liability for Losses, Warranties and Reservation of Rights

Norwich and/or its affiliates reserve their rights to pursue all remedies available to them under applicable law for any breach of these Terms or inappropriate conduct. The Materials contained in the Site or provided through the Site are provided “as is”. To the fullest extent permitted by applicable law, Norwich and/or its affiliates disclaim any and all such warranties and/or representations whatsoever. Without limiting the generality of the foregoing, to the fullest extent permitted by applicable law, Norwich and/or its affiliates expressly disclaim any and all warranties (i) merchantability or fitness for a particular purpose; (ii) against infringement of any third-party intellectual property or proprietary rights; (iii) relating to the transmission or delivery of the Site; (iv) relating to the title, description, accuracy, reliability, correctness, availability or completeness of the data/information/materials made available in the Site or otherwise by us; (v) otherwise relating to performance, non-performance, or other act(s) or omission(s) by us or any third-party; (vi) that the Site will meet your needs or requirements or the needs or requirements of any other person; and (vii) that the content in the Site is free of viruses or other harmful components. To the fullest extent permitted by applicable law, neither Norwich and/or its affiliates accept and/or will accept any liability(ies) for any error, omission, interruption, disruption, defect or delay in information provided in the Site, or for any failure to update the Materials/information in the Site other than to the extent any such liability(ies) arises as a direct result of Norwich failing to take reasonable skill and care in making the Site accessible and available. To the fullest extent permitted by applicable law, in no event shall Norwich and/or its affiliates and/or its licensors nor any representatives/management/agents/employees of Norwich be liable for any: –

i. economic losses or damages, including without limitation to any loss of profits, sales, business or revenue; and

ii. loss of goodwill or reputation;

iii. indirect or consequential loss or damages, in each case, whether based on contract, tort, negligence, strict liability, statute or otherwise and arising out of or in connection with (a) your access, use, misuse, loss of use or any delay or inability to use the Site; (b) any loss or corruption of any data as a result of your use of the Site; (c) the security of the Site; (dd) any failure of performance, error, omission, interruption, disruption, defect or delay in operation or transmission of the Site; (e) any viruses which may infect your computer equipment or other property as a result of your use of the Site; (f) any breach of security by hackers; or (g) any content obtained through the site, or otherwise arising out of the use of or access to the Site.

You shall release Norwich and/or its affiliates and/or its licensors or any representatives/management/agents/employees of Norwich from any claims, demands and damages of every kind and nature arising out of or in any way connected with the Site. In the case of jurisdictions that restrict limitation clauses, the above limitations shall be applied to the greatest extent permitted by the relevant law in such jurisdictions. The above limitations do not, in any way, exclude any liability of Norwich, its affiliates and/or its licensors nor any representatives/management/agents/employees of Norwich where it would be unlawful to do so. Your access to and use the Site is at your own risk. If you are dissatisfied with the Site or any of its Materials/information/content(s) contained therein, your sole and exclusive remedy is to discontinue using and accessing the Site. You acknowledge that you will be waiving rights with respect to claims that are unknown or unsuspected. Accordingly, you agree to waive the benefit of any law. You have also agreed to defend, indemnify, and/or hold harmless towards Norwich, its parent, subsidiaries, affiliates and the directors, officers, officers, personnel, employees, shareholders, vendors, partners, contractors, agents, licensors or other representatives of each of them and all their successors and assigns with respect to claims, costs (including attorneys’ fees and costs), damages, liability and expenses or obligations of any kind arising out of or in connection with your access to or misuse of the Site or inability to use the Site by any Party. Norwich reserves the right to assume the exclusive defence and control of any claim subject to indemnification, and in such case you agree to cooperate with us to defend such claim.

 

8. Law and Forum

You warrant that you will not use the Site for any purpose that is unlawful or illegal or prohibited by the Terms stated herein. You agree that the Terms (including any non-contractual disputes or claims relating to the Terms) will be governed by and construed in accordance with the laws of Hong Kong SAR. However, this restriction may not prevent you from benefiting from any mandatory protections afforded to you under the law applicable in the country in which you live. You also agree that you will resolve any claim, cause of action or dispute you have with us arising out of or relating to your use of the Site or these Terms exclusively in a court located in Hong Kong SAR and to submit to the personal jurisdiction of such courts for the purpose of litigating all such claims, in each case, other than to the extent you are permitted under mandatory protections afforded to you under the law applicable in the country in which you live to litigate any such claims in another jurisdiction, such as the jurisdiction in which you live.

 

9. Others

In the event that any provision of these Terms is deemed invalid by a court with jurisdiction over the parties, the said provision will be interpreted to reflect the original intentions of the parties in accordance with applicable law and the remainder of these Terms shall remain valid and applicable to the parties. The failure of Norwich and/or its affiliates to enforce any provisions of these Terms or to respond to a breach by you or other parties shall not in any way waive its right to enforce subsequently any terms or conditions of the Terms stated herein or to act with respect to similar breaches. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Norwich as a result of these Terms or your access to and use of the Site. Norwich may assign its rights and obligations under these Terms at any time. These Terms constitute the entire agreement between you and Norwich in relation to their subject matter.

 

10. Dispute Resolution

Norwich reserves the right revise/alter/amend/change the Terms and Conditions or modify/alter any features of the Site at any time at its sole discretion without prior notice given.
